For the duration of the period, Zero Sight Accessories (ZSA) permits the service of a distributor in the execution of the following operations:


A. Market and allocate goods and services of Zero Sight Accessories.

B. Maintain a minimum sustained sale of $3,000.00 every month with Zero Sight Accessories .

The DISTRIBUTOR has represented and warranted its capabilities to implement the abovementioned operations and contracted his services to Zero Sight Accessories as accepted by Zero Sight Accessories.

NOW, THEREFORE, for and in consideration of the foregoing premises and the terms and conditions hereunder stipulated, the parties hereto agreed as follows:

1.TRANSPORTATION / SHIPMENT


The availability of the products for shipment shall be determined by the volume ordered and date of purchase order certification as furnished by the DISTRIBUTOR. The DISTRIBUTOR shall be responsible in arranging pick up and settlement of transportation charges of the commodities purchased from ZSA, therefore holding ZSA free from any claims, suit and actions that may be brought against ZSA on account of delays, damages or non-delivery attributable to the shipment and or trucking company. Any damages or malfunctions attributable to shipment and transportation, detected upon receipt of the item should be reported and sent to the logistics 96 service provider within fifteen days (15days) so that we could forward the corresponding replacement upon payment of the logistics company to us. Furnish your logistics service provider pictures of the damaged package and items to expedite your claims. Moreover, ZSA shall not be responsible for the delay of delivery or non-delivery of the merchandise as a consequence of natural calamities.

2. LABELING

All goods and services purchased from ZSA shall be marketed and sold under the name of ZSA, unless the DISTRIBUTOR obtains the consent of ZSA to attach another brand name to the commodities.


2.1. In the event that ZSA permits the DISTRIBUTOR to attach another brand, the DISTRIBUTOR shall pay ZSA concession fees.

2.2. The consent of ZSA to the DISTRIBUTOR attaching another brand to the products purchased from ZSA shall not decelerate nor impede ZSA92s business operation in any respect.

3. PURCHASE ORDER

The DISTRIBUTOR shall provide a detailed, valid and official purchase order together with a bank credit letter certifying the commodities ordered from ZSA.

3.1. ZSA shall impose a minimum monthly purchase order of $3,000.00, which may consist of any specific product or combination of products as specified by the DISTRIBUTOR.

4. ORDER CANCELLATIONS

For cancellation of a purchase order as advised by DISTRIBUTOR or its authorized representative, all sums previously remitted to ZSA will be forfeited.

5. BILLING AND PAYMENT

The DISTRIBUTOR, upon accepting the contract, shall pay ZSA the full amount of the commodities as declared in the purchase order through Letter of Credit.


5.1. The DISTRIBUTOR shall be billed in accordance with the rate and minimum amount per purchase order as prescribed and imposed by ZSA. 5.2. Failure of the DISTRIBUTOR to comply with the determined payment schedule according to section 6.1, ZSA shall be entitled to collect as penalty, in addition to the unpaid invoices, Five Per Cent (5%) of the total balance.

6. MISCELLANEOUS

ZSA shall have the right to terminate this Contract upon failure of the DISTRIBUTOR to abide by the contracted terms and conditions.

6.1 In the event of lawsuit against the DISTRIBUTOR to enforce collection of unpaid invoices or due to violation of the provision of Section I hereof and that of the preceding paragraph, the DISTRIBUTOR shall pay, in addition to the amounts ZSA is entitled to recover, all damages or its equivalent amount incurred on account of the claim.

6.2. In case of conflict between the provisions of the Contract and Letter of Authorization and or Confirmation, this contract shall prevail.

 

7. DISCLAIMER AND LIMITATION OF LIABILITY

7.1. Do not use damaged products and materials.


7.2. We reserve the right to request you to examine the merchandise upon receipt for damages or malfunctions. ZSA holds no responsibility in any fortuitous events caused by the incautious use of damaged or faulty products.


7.3. We give no warrant with respect to repairs, modification or alterations performed by unauthorized ZSA personnel.


7.4. We are not accountable for the delay or non-delivery of merchandise attributable to shipment and transportation.


7.5. We shall not be responsible for any delay in the production and delivery of commodities and/or replacements as a consequence of natural calamities, however, you will be informed by the ZSA Team accordingly.


7.6. A more detailed product instruction and product description shall be made available within the product catalogue for sale on-line. Therefore, holding ZSA free from any claims, lawsuits and liability on account of injury to person or property, death of a person or an organization whatsoever, as a consequence of the imprudence of the Customer and/or User, usage of unauthorized persons, misinformation, mishandling, misuse, or inappropriate application of ZSA product and/or any of its equipment which may prove harmful or detrimental to another person.


7.7. We shall only sell to persons ages 18 and above, all products connected to firearms. We shall base our discernment of ages using the information provided in the order form. We shall not in any way be responsible and we hold free from lawsuits and liabilities arising out from a sale made with an unqualified buyer who submitted incorrect information.


7.8. Handling firearms is inherently dangerous activity. Follow all safety rules and laws when handling any type of firearm. 7.9. Certain ZSA products and equipments are made of leather, metal and plastic and should only be disposed in accordance with local regulations, we will not be liable for any violations committed and penalty incurred by the user regarding the matter.
